General Terms and Conditions — Evolve Solutions


1. Scope of Services

Evolve Solutions provides technology consulting, managed IT services, system enablement, infrastructure support, and related professional services as agreed in writing with the client. Specific deliverables, timelines, and responsibilities will be outlined in proposals, statements of work, service agreements, or written correspondence. Any services outside the agreed scope require written authorization.

2. Client Responsibilities

The client agrees to:

  • Provide accurate information, system access, credentials, and cooperation necessary to perform services

  • Maintain appropriate licensing, permissions, and ownership rights for all hardware, software, and data

  • Notify Evolve Solutions of any changes that may impact service delivery

Delays or limitations caused by incomplete information, restricted access, or third-party dependencies may affect timelines and outcomes.

3. Fees and Payment

Fees are based on the agreed pricing structure outlined in proposals or invoices. Unless otherwise stated:

  • Payment is due according to the terms listed on the invoice

  • Late payments may result in service suspension or additional administrative charges

  • Emergency or out-of-scope work may be billed separately

All fees are exclusive of applicable taxes unless stated otherwise.

4. Changes and Additional Work

Any requested changes to scope, timelines, or deliverables must be documented and approved before execution. Evolve Solutions reserves the right to adjust pricing and timelines accordingly.

5. Third-Party Products and Services

Evolve Solutions may recommend or assist with third-party hardware, software, cloud platforms, or vendors. Such products and services are governed by their respective terms and warranties. Evolve Solutions is not responsible for third-party failures, outages, licensing issues, or vendor actions beyond reasonable control.

6. Data Protection and Confidentiality

Both parties agree to maintain confidentiality of sensitive information. Evolve Solutions will take reasonable measures to protect client data but does not guarantee absolute security. The client remains responsible for maintaining backups unless backup services are explicitly included in the agreement.

7. Service Availability and Limitations

Evolve Solutions will make commercially reasonable efforts to deliver services reliably. However, no guarantee is made regarding uninterrupted availability due to factors including hardware failure, software defects, cyber incidents, or third-party infrastructure issues.

8. Warranty Disclaimer

Services are provided on a professional best-effort basis. Except where explicitly stated in writing, Evolve Solutions makes no warranties, express or implied, including fitness for a particular purpose.

9. Limitation of Liability

To the fullest extent permitted by law:

  • Evolve Solutions is not liable for indirect, incidental, or consequential damages

  • Liability is limited to the amount paid for the specific service giving rise to the claim

This includes, but is not limited to, data loss, downtime, business interruption, or third-party impacts.

10. Intellectual Property

Tools, documentation, scripts, workflows, and methodologies developed by Evolve Solutions remain its intellectual property unless otherwise agreed. The client receives a non-exclusive license to use deliverables for internal purposes.

11. Termination

Either party may terminate services with written notice as outlined in the governing agreement. Outstanding balances remain payable. Work completed prior to termination will be invoiced accordingly.

12. Force Majeure

Evolve Solutions is not responsible for delays or failures caused by events beyond reasonable control, including natural disasters, infrastructure failures, or regulatory actions.

13. Governing Law

These terms are governed by the applicable laws of the jurisdiction in which Evolve Solutions operates, unless otherwise specified in writing.

14. Acceptance

Engaging services, signing agreements, or approving work constitutes acceptance of these terms unless superseded by a separate written contract.
